1. Acceptance of Terms

By accessing and using the website and services of eldoras B.V. ("eldoras", "we", "us", or "our"), you agree to be bound by these Terms of Service and all applicable laws and regulations. eldoras B.V. is a registered company in the Netherlands (KvK: 80527194, VAT: NL889603721B01) specialising in real estate asset management services. These terms apply to all users of our website and clients of our professional services.

2. Description of Services

eldoras provides professional real estate asset management services including but not limited to portfolio analysis, investment strategy development, risk management, market research, and property valuation services. Our services are designed for institutional and individual investors seeking professional management of their real estate portfolios.

All services are provided in accordance with Dutch law and applicable European Union regulations. Specific terms for individual services will be outlined in separate service agreements between eldoras and the client.

3. User Obligations and Responsibilities

When using our services, you agree to:

• Maintain the confidentiality of any account credentials
• Use our services only for lawful purposes and in accordance with these terms
• Not interfere with or disrupt the services or servers connected to our website

The eldoras name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of eldoras B.V. You must not use such marks without our prior written permission.

5. Investment Disclaimers and Risk Warnings

Real estate investments carry inherent risks, and past performance does not guarantee future results. All investment decisions should be made based on your individual financial situation, investment objectives, and risk tolerance. eldoras provides professional advice, but the final investment decisions rest with the client.

Market conditions, economic factors, and regulatory changes can affect real estate values and investment returns. eldoras makes no guarantees about investment performance or outcomes and strongly recommends that clients seek independent financial and legal advice before making investment decisions.

6. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these terms by reference. By using our services, you consent to the collection and use of your information as described in our Privacy Policy.

We comply with the General Data Protection Regulation (GDPR) and Dutch data protection laws in all our data processing activities.

7. Limitation of Liability

To the fullest extent permitted by Dutch law, eldoras B.V. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising from or relating to your use of our services, even if we have been advised of the possibility of such damages.

Our total liability to you for all claims arising from or relating to these terms or our services shall not exceed the amount paid by you to eldoras in the twelve months preceding the claim. This limitation applies regardless of the legal theory on which the claim is based.

Nothing in these terms shall exclude or limit our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.

8. Professional Standards and Compliance

eldoras operates in accordance with Dutch financial services regulations and maintains professional indemnity insurance. We adhere to industry best practices and ethical standards in all our business operations and client relationships.

Our services are subject to regulatory oversight, and we maintain appropriate records and documentation as required by law. Clients may be required to provide documentation for compliance with anti-money laundering and know-your-customer regulations.

9. Fees and Payment Terms

Fees for eldoras services are outlined in individual service agreements and may vary based on the scope and complexity of services provided. All fees are quoted in Euros and are subject to applicable VAT.

Payment terms will be specified in your service agreement. Late payment may result in suspension of services and the application of interest charges as permitted by law. eldoras reserves the right to modify fees with appropriate notice to clients.

10. Termination of Services

Either party may terminate the service relationship in accordance with the terms specified in the individual service agreement. eldoras reserves the right to terminate services immediately if you breach these terms or engage in conduct that we deem inappropriate or harmful to our business or other clients.

Upon termination, you must cease all use of our services and return any confidential information. Provisions of these terms that by their nature should survive termination shall remain in effect after termination.

11. Confidentiality

eldoras maintains strict confidentiality regarding all client information and investment details. We will not disclose confidential information except as required by law or with your explicit consent. This obligation continues after the termination of our service relationship.

You acknowledge that eldoras' methodologies, strategies, and proprietary information constitute trade secrets and agree to maintain their confidentiality.

12. Force Majeure

eldoras shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, government actions, or technical failures. In such cases, we will make reasonable efforts to resume normal service as soon as possible.

13. Governing Law and Jurisdiction

These Terms of Service are governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from or relating to these terms or our services shall be subject to the exclusive jurisdiction of the competent courts in Breda, Netherlands.

If any provision of these terms is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect. The failure of eldoras to enforce any right or provision of these terms shall not constitute a waiver of such right or provision.

14. Modifications to Terms

eldoras reserves the right to modify these Terms of Service at any time. We will provide notice of significant changes by posting the updated terms on our website and updating the "Last updated" date. Your continued use of our services after such modifications constitutes acceptance of the updated terms.
